1. Agreement

These Terms of Service ("Terms") govern your use of Lode ("the Software"), a macOS application developed by RexCode (a one-person studio operated by Rex, hereafter "we" or "RexCode"). By downloading, installing, activating, or using Lode, you agree to these Terms. If you don't agree, don't use the Software and request a refund within the refund window.

2. License grant

2.1 What you get

Upon purchase, RexCode grants you a non-exclusive, non-transferable, personal-use license to use Lode. Choose one of the following tiers at checkout:

• Lode Pro Yearly — auto-renewing subscription at $49.99 USD/year (or local equivalent through the Mac App Store). Includes a 1-month free trial for new subscribers. Active subscription unlocks all features on every Mac you personally own. Cancel anytime at least 24 hours before the end of the current billing period; access continues through the end of the period. To manage or cancel a Mac App Store subscription: System Settings → Apple ID → Subscriptions, or visit apps.apple.com/account/subscriptions.
• Lode Lifetime — one-time purchase at $99.99 USD (early-bird price; scheduled to rise to $149.99 USD at the end of the launch window). Permanent access on every Mac you personally own, with free updates for life.

Both tiers include Apple Family Sharing (when purchased through the Mac App Store) or apply to your household of up to 6 people (when purchased through Direct Sale). "Personal use" includes commercial use of Lode by you — what's restricted is sublicensing the binary or key to others.

2.2 What "lifetime" means

"Lifetime" means: once purchased, you may use Lode indefinitely on your personally-owned Macs, even if you stop paying us anything ever again. Free updates are included for the foreseeable life of the product. We reserve the right to charge for major version upgrades (v1 → v2) if a future major release adds substantial new value; in that case existing Lifetime buyers will receive a meaningful discount (typically ~50% of the new-user price), and the existing major version remains usable indefinitely at no cost.

"Pro Yearly" is a subscription: access is contingent on the subscription being active. If you cancel or let it lapse, Lode reverts to the post-trial state (still functional with occasional reminders to renew, never locked).

2.3 What's allowed

• Install on the number of personal Macs covered by your tier.
• Use Lode for any lawful purpose, personal or commercial.
• Open files of any type you own or are authorised to access.
• Make local backups of the Software binary for your own protection.

2.4 What's not allowed

• Sharing, selling, sublicensing, or publishing your license key.
• Bundling Lode into other products without written permission.
• Reverse-engineering license validation to circumvent the trial or paid tiers.
• Removing copyright notices from the binary.
• Using Lode in any way that violates applicable laws (e.g. opening files you have no right to access).

3. Trial

Lode provides a free trial period (currently 30 days from first launch). During the trial, all features are unlocked. After expiry:

• Lode remains functional and read-only operations continue without restriction (we don't lock your data).
• A nag dialog appears periodically inviting you to purchase a license.
• You may purchase a license at any time to remove the nag and support development.

4. Refunds

4.1 Merchant of Record

Direct Sale purchases (the ones made on this website, rexcode.app/lode) are processed by Lemon Squeezy as Merchant of Record. That means Lemon Squeezy is the legal seller of record for tax-and-invoice purposes; we are the developer of the software and the recipient of the net proceeds. Your invoice and credit-card statement will show "Lemon Squeezy" (or a similar variant) rather than "RexCode". This arrangement lets us serve buyers in countries with VAT / GST / sales-tax obligations without each of us having to register locally.

4.2 Refund window

30-day, no-questions-asked refund. If you're unhappy for any reason within 30 days of purchase, email [email protected] with your order ID. We'll initiate the refund through Lemon Squeezy within 5 business days; depending on your bank, funds typically arrive 3–10 business days after that. After the 30-day window, refund requests are evaluated case-by-case (we generally honour them if the reason is a real bug we can't fix).

Refunds for Apple Mac App Store purchases (when available in the future) are handled by Apple under their refund policy, not by us directly.

5. Updates

• Pro Yearly subscribers: receive all updates (patch, minor, and major) for the duration of the active subscription. Renewing keeps the update flow going indefinitely.
• Lifetime buyers: receive all patch and minor versions (e.g. v1.0 → v1.0.1 → v1.1) at no additional cost, forever. Major version upgrades (v1.x → v2.0) may be offered at a discounted upgrade price (~50% of new-user price). The existing major version remains fully usable at no charge — we will never disable software you've already paid for.
• We do not auto-update on a schedule. You install updates when you choose, by downloading the new DMG from github.com/rex4ssd/lode-releases (Direct Sale) or the Mac App Store auto-update flow.

6. Privacy

Our handling of your data is described in detail in the Lode Privacy Policy. Summary: Lode is local-first with no servers; almost nothing leaves your machine without explicit user action.

7. Warranty disclaimer

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Translated: we work hard to ship bug-free software, but we can't guarantee perfection. Always back up important files. If Lode corrupts a file you didn't have a backup of, we're very sorry but we cannot accept liability for that loss.

8. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall RexCode be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of data, loss of profit, or business interruption — arising out of or in connection with your use of the Software.

Our total cumulative liability for any direct damages arising from the Software is limited to the amount you paid for your license (or USD $0 if you're using the free trial).

9. Termination

You may stop using Lode at any time. If you violate these Terms (e.g. publish your license key publicly), we may revoke the license without refund. We will email you first if at all possible.

10. Governing law

These Terms are governed by the laws of Taiwan (R.O.C.). Any disputes shall be resolved in the courts of Taipei District. For purchases routed through Apple (Mac App Store) or Lemon Squeezy (which acts as Merchant of Record for Direct Sale purchases — see §4.1 above), their respective dispute resolution mechanisms also apply.

11. Changes to these Terms

We may update these Terms occasionally. Material changes will be announced on the Lode home page and the rex4ssd/lode-releases repository, and the "Effective date" at the top of this page will be updated. Continued use of Lode after the effective date constitutes acceptance.

2. 授權範圍

2.1 你買到什麼

購買後，RexCode 授予你非專屬、不可轉讓、個人使用的授權。購買時請選擇下列其中一種方案：

• Lode Pro Yearly 年訂閱 — 每年 USD $49.99 自動續訂（或透過 Mac App Store 之當地對應價格），含新訂戶 1 個月免費試用。訂閱有效期間可於你個人擁有的所有 Mac 解鎖全部功能。至當期帳單結束前 24 小時可隨時取消；至當期帳單結束前持續可用。透過 Mac App Store 購買者，可至 系統設定 → Apple ID → 訂閱項目，或前往 apps.apple.com/account/subscriptions 管理或取消訂閱。
• Lode Lifetime 終身版 — 一次買斷 USD $99.99（早鳥優惠價，正式版上線後將調整為 USD $149.99）。可於你個人擁有的所有 Mac 永久使用，免費更新終身。

兩種方案皆支援 Apple Family Sharing（透過 Mac App Store 購買時）或涵蓋你家中最多 6 人（透過 Direct Sale 購買時）。「個人使用」包含你自己用於商業用途；限制的是將 binary 或 key 再授權給他人。

2.2 「終身」是什麼意思

「Lifetime 終身」意思是：購買後可於個人 Mac 上永久使用，即使你停止付任何費用。可預見之產品生命週期內含免費更新。我們保留就大版本升級（v1 → v2）收費的權利，惟僅當該新大版本提供大幅新價值時；既有 Lifetime 持有者將獲得有意義之升級折扣（約新使用者價格 50%），且既有大版本永久可用、不收費 — 我們不會關掉你已付費的軟體。

「Pro Yearly 年訂閱」是訂閱制：使用權取決於訂閱有效。取消或讓訂閱失效後，Lode 將回到 trial 過期後狀態（仍可使用、偶爾跳提示，永遠不會鎖功能）。

2.3 允許的事

• 安裝在你的個人 Mac 上，台數以方案授權為準。
• 用於任何合法目的（個人 / 商業皆可）。
• 開啟你擁有的或經授權可存取的任何類型檔案。
• 備份本軟體 binary 以保護自己。

2.4 不允許的事

• 分享、販售、再授權、或公開發佈你的 license key。
• 未經書面同意將 Lode 打包進其他產品。
• 逆向工程 license 驗證機制以繞過 trial 或付費 tier。
• 移除 binary 中的著作權標示。
• 以違反現行法律的方式使用 Lode（例如開啟你無權存取的檔案）。

3. 試用

Lode 提供免費試用期（目前自首次啟動起 30 天）。試用期內所有功能完整解鎖。試用過期後：

• Lode 仍可使用，且唯讀操作不受任何限制（我們不會鎖住你的資料）。
• 會週期性跳出提示視窗邀請你購買授權。
• 你可隨時購買 license 移除提示並支持後續開發。

4. 退費

4.1 Merchant of Record（指定銷售人）

Direct Sale 購買（在本網站 rexcode.app/lode 完成的購買）由 Lemon Squeezy 擔任 Merchant of Record。意即：在稅務與發票上，Lemon Squeezy 為法律上之賣方；RexCode 為軟體開發者並收取淨營收。你的發票與信用卡帳單上會顯示「Lemon Squeezy」（或類似字樣）而非「RexCode」。此安排讓我們得以服務有 VAT / GST / 銷售稅義務的國家買家，無須各自註冊當地稅籍。

4.2 退費期間

30 天無條件退費。若購買後 30 天內因任何原因不滿意，寫信到 [email protected] 附訂單編號，我們將於 5 個工作天內透過 Lemon Squeezy 啟動退款；視銀行而定，款項通常於再 3–10 個工作天內到達。30 天後的退費申請逐案評估（若是我們無法修復的真實 bug，通常會退）。

若未來透過 Apple Mac App Store 購買，退費將依 Apple 退費政策由 Apple 處理，不由我們直接處理。

5. 更新

• Pro Yearly 年訂閱用戶：訂閱有效期間享所有更新（patch、minor、major 皆含）。續訂後持續享受。
• Lifetime 終身用戶：所有 patch 與 minor 版本（如 v1.0 → v1.0.1 → v1.1）終身免費。大版本升級（v1.x → v2.0）可能提供折扣升級價（約新使用者價格 50%）。既有大版本永久可用，不收任何費用 — 我們永遠不會關掉你已付費的軟體。
• 我們不會自動排程更新。由你自行決定何時下載新 DMG（Direct Sale 自 github.com/rex4ssd/lode-releases）或透過 Mac App Store 自動更新流程取得。

6. 隱私

資料處理詳見 Lode 隱私權政策。摘要：Lode 是本機優先、沒有伺服器；除非你明確觸發，幾乎沒有任何東西離開你的機器。

7. 不擔保聲明

本軟體以「現狀」提供，不就任何明示或默示之擔保負責，包括但不限於可商用性、特定目的適用性、不侵權之擔保。

白話：我們努力做出無 bug 的軟體，但無法保證完美。重要檔案請自行備份。若 Lode 損壞了你沒備份的檔案，我們很遺憾，但無法為該損失承擔責任。

8. 責任限制

在現行法律所允許的最大範圍內，RexCode 對任何間接、附隨、特殊、衍生性、懲罰性損害不負責任，包括但不限於資料遺失、利潤損失或業務中斷。

本軟體所衍生的任何直接損害，RexCode 累計責任上限為你為該授權支付的金額（如使用免費試用版則為 USD $0）。

9. 終止

你可隨時停止使用 Lode。若你違反本條款（例如公開散佈 license key），我們可不退款撤銷該授權。盡可能會先 email 通知。

10. 管轄法律

本條款適用中華民國（台灣）法律。任何爭議由台北地方法院管轄。若透過 Apple（Mac App Store）或 Lemon Squeezy（Direct Sale 之 Merchant of Record，見上方 §4.1）購買，亦適用各該處理者之爭議解決機制。

11. 條款變更

我們可能不定期更新本條款。重大變更會在 Lode 主頁及 rex4ssd/lode-releases repository 公告，並更新本頁面頂端的「生效日期」。在生效日期後繼續使用 Lode 視為同意更新後的條款。
